Terms and Conditions

Please read these Terms carefully before using The Compound. They include important disclaimers, limits on liability, billing terms, and rules for account and community access.

1. Agreement to These Terms

These Terms and Conditions govern your access to and use of The Compound, a personal financial planning, budgeting, portfolio tracking, and related member application provided by JP Finance. By creating an account, starting a trial, purchasing a subscription, or using The Compound, you agree to these Terms.

If you do not agree to these Terms, do not use The Compound. If you are using The Compound on behalf of another person or entity, you represent that you have authority to bind that person or entity.

2. The Compound Is Not Financial Advice

The Compound is a tracking, organization, and educational tool. It is not investment, tax, legal, accounting, retirement, insurance, or other professional advice. JP Finance is not acting as your investment adviser, broker-dealer, tax adviser, attorney, accountant, fiduciary, or financial planner by providing The Compound. WhyLearntech is not acting in any professional advisory capacity by helping build, maintain, support, or operate technology for The Compound.

Information, examples, projections, calculations, budget views, dividend estimates, net-worth summaries, or other outputs in The Compound are for informational purposes only and may be incomplete, delayed, inaccurate, or based on assumptions or user-entered data. You are solely responsible for verifying all information before making financial decisions.

You should consult qualified professionals before making investment, tax, legal, accounting, or financial decisions. Past performance, projections, estimates, and examples do not guarantee future results.

3. Eligibility and Account Security

You must be at least 18 years old, or the age of majority where you live, to use The Compound. You agree to provide accurate account information and keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify JP Finance promptly if you believe your account has been compromised.

4. Subscriptions, Trials, Billing, and Cancellation

The Compound is offered as a paid subscription unless JP Finance states otherwise. Pricing, trial length, features, and availability may change over time. Any stated free trial is available only according to the terms shown at checkout or in the product at the time you subscribe.

Payments are processed by Stripe or another third-party payment provider. JP Finance does not store full payment card numbers on its own servers. By subscribing, you authorize recurring charges until you cancel.

You may cancel through the billing portal or other cancellation method JP Finance makes available. Cancellation generally stops future renewal charges but does not automatically refund amounts already paid unless required by law or expressly stated by JP Finance.

If a payment fails, access may be suspended or terminated. Taxes, currency conversion, bank fees, and payment-provider fees are your responsibility where applicable.

5. Discord and Community Access

Some subscriptions may include a Discord role or other community access. Community access is a membership benefit, not a guaranteed permanent entitlement. JP Finance may modify, suspend, or remove community features or roles at any time.

You must follow applicable Discord terms, community rules, and JP Finance moderation decisions. JP Finance may remove community access for abuse, harassment, spam, misconduct, payment failure, or other behavior JP Finance reasonably determines is harmful.

6. User Data and Manual Entries

You are responsible for the accuracy, legality, and completeness of information you enter into The Compound, including holdings, share counts, prices, cost basis, dividends, budgets, saving goals, net-worth entries, and notes.

The Compound may rely on manual data entry. Automated market-data pulling, dividend pulling, integrations, imports, or syncing features may be unavailable, experimental, delayed, or changed. JP Finance does not guarantee that any calculation, estimate, projection, or displayed balance is accurate or current.

7. Acceptable Use

You agree not to misuse The Compound, attempt unauthorized access, interfere with service operation, reverse engineer non-public parts of the service, scrape or overload the service, use the service for unlawful purposes, or upload malicious code.

You may not use The Compound to store or transmit information you do not have the right to use, highly sensitive data that is not necessary for the service, or content that violates another person’s rights.

8. Intellectual Property

The Compound, JP Finance branding, designs, software, workflows, text, graphics, and related materials are owned by JP Finance or its licensors and are protected by intellectual-property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use The Compound for your personal or internal financial tracking purposes.

You retain ownership of information you enter into The Compound. You grant JP Finance and its service providers, including WhyLearntech where applicable, the rights needed to host, process, display, back up, secure, support, and operate the service for you.

9. Third-Party Services

The Compound may rely on third-party providers and contractors, including WhyLearntech for technology services, Supabase for authentication/database services, Stripe for payments and billing, Discord for community access, Resend or other email providers, hosting providers, analytics providers, and other vendors. Third-party services are governed by their own terms and privacy policies.

JP Finance is not responsible for third-party outages, errors, data practices, fees, or policy changes, although commercially reasonable efforts may be used to select reputable service providers.

10. Service Changes, Availability, and Beta Features

JP Finance may add, modify, suspend, or discontinue features at any time. The Compound may experience downtime, bugs, data delays, data loss, maintenance windows, or other interruptions.

Beta, experimental, preview, or manually enhanced features are provided for evaluation and may be changed or removed without notice.

11. Disclaimers

The Compound is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, JP Finance and its service providers, including WhyLearntech where applicable, disclaim all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, availability, and error-free operation.

JP Finance does not guarantee investment results, tax outcomes, budget outcomes, savings outcomes, portfolio performance, dividend income, account security beyond commercially reasonable safeguards, or uninterrupted access.

12. Limitation of Liability

To the fullest extent permitted by law, JP Finance, WhyLearntech as a service provider or technology contractor, and their respective owners, employees, contractors, affiliates, service providers, successors, and assigns will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost savings, investment losses, tax penalties, data loss, or business interruption.

To the fullest extent permitted by law, the total liability of JP Finance and the other protected parties for all claims relating to The Compound will not exceed the greater of the amount you paid JP Finance for The Compound during the three months before the event giving rise to the claim or $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless JP Finance, WhyLearntech as a service provider or technology contractor, and their respective owners, employees, contractors, affiliates, service providers, successors, and assigns from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of The Compound, your data, your violation of these Terms, your violation of law, or your infringement of another person's rights.

14. Termination

Access may be suspended or terminated if you violate these Terms, fail to pay, create risk for JP Finance, its service providers, or other users, misuse the service, or if The Compound is discontinued. You may stop using The Compound at any time.

Sections intended to survive termination, including payment obligations, disclaimers, limitations of liability, intellectual-property provisions, indemnification, and dispute provisions, will survive.

15. Changes to These Terms

These Terms may be updated from time to time. The updated Terms will be posted with a new last updated date. Continued use of The Compound after changes become effective means you accept the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where JP Finance is established, without regard to conflict-of-law rules, unless applicable law requires otherwise. Before filing a formal claim, you agree to first contact JP Finance and attempt to resolve the dispute informally.

Some jurisdictions do not allow certain limitations, exclusions, or dispute provisions. In that case, those provisions apply only to the maximum extent permitted by law.
